TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLICKHIREMATCH, JOBHUB GROUP LLC, OR THEIR RESPECTIVE MEMBERS, OFFICERS, EMPLOYEES, AGENTS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOSS OF REVENUE, PROFITS, DATA, EMPLOYMENT OPPORTUNITIES, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF CLICKHIREMATCH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF CLICKHIREMATCH AND JOBHUB GROUP LLC TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO CLICKHIREMATCH IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not permit the limitation of liability for certain types of damages. If such laws apply to you, some or all of the above limitations may not apply.

14. DISPUTE RESOLUTION; BINDING ARBITRATION; CLASS ACTION WAIVER

THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO LITIGATE DISPUTES IN COURT BEFORE A JUDGE OR JURY, EXCEPT AS SET FORTH BELOW. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION AS DESCRIBED IN SECTION 14.4.

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact ClickHireMatch at legal@contactcenterjobs.com and attempt to resolve the dispute informally. ClickHireMatch will attempt to resolve the dispute within 30 days of receiving your notice. If the dispute is not resolved informally within that period, either party may proceed to binding arbitration as set forth below.

14.2 Binding Arbitration

Except as set forth in Section 14.3, any dispute, claim, or controversy arising out of or relating to this Agreement, the Site, or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in the State of Illinois, or via telephone or video conference. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court. Either party may also seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

14.4 Opt-Out

You may opt out of binding arbitration within 30 days of first agreeing to these Terms by sending written notice to: legal@contactcenterjobs.com with the subject line “Arbitration Opt-Out.” Your notice must include your name, mailing address, and account email address. If you opt out, all disputes will be subject to the governing law and jurisdiction provisions in Section 15.

14.5 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CLICKHIREMATCH AGREE THAT ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS PART OF ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION PROCEEDING.

15. GOVERNING LAW AND JURISDICTION

This Agreement and any disputes not subject to arbitration hereunder shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Illinois, and you waive any objection to such jurisdiction or venue.

16. MODIFICATIONS TO THE AGREEMENT

ClickHireMatch reserves the right to update or modify this Agreement at any time in its sole discretion. When we make material changes, we will post the revised Agreement on the Site and update the “Last Updated” date at the top of this page. We may also provide notice of material changes by email to registered users or through a prominent notice on the Site.

Your continued use of the Site after the posting of any revised Agreement constitutes your acceptance of the updated terms. It is your responsibility to review this Agreement periodically. If you do not agree to the revised terms, you must stop using the Site.

17. TERMINATION AND SUSPENSION

ClickHireMatch reserves the right, in its sole discretion and without prior notice, to suspend or terminate your access to the Site or any portion thereof, and to remove or disable any User Content or account, for any reason or no reason, including but not limited to:

  • Violation of this Agreement or applicable law;
  • Conduct that ClickHireMatch determines, in its sole discretion, is harmful to the Site, other users, or ClickHireMatch’s business interests; or
  • Extended periods of account inactivity.

Upon termination, your right to use the Site immediately ceases. All provisions of this Agreement that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, indemnification, and dispute resolution — shall survive.

18. MISCELLANEOUS

18.1 Entire Agreement

This Agreement, together with the Privacy Policy and any other policies or guidelines incorporated by reference, constitutes the entire agreement between you and ClickHireMatch regarding your use of the Site and supersedes all prior agreements and understandings, whether written or oral.

18.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

18.3 Waiver

ClickHireMatch’s failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision.

18.4 No Agency

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship between you and ClickHireMatch.

18.5 Assignment

You may not assign or transfer your rights or obligations under this Agreement without ClickHireMatch’s prior written consent. ClickHireMatch may freely assign this Agreement, including in connection with a merger, acquisition, or sale of assets.

18.6 Headings

Section headings in this Agreement are for convenience only and have no legal or contractual effect.
